TERMS AND CONDITIONS OF BUSINESS | A D ART STUDIO


These Terms and Conditions ("Terms") govern your access to and use of the A D Art Studio website (the "Website"), and the purchase of any artworks, commissions, or related services from A D Art Studio ("the Studio," "we," "us," or "our"). By accessing the Website or placing an order, you agree to be bound by these Terms. Please read them carefully.


1. INTRODUCTION & ACCEPTANCE OF TERMS


1.1. A D Art Studio is a UK-based studio specialising in the creation and sale of large-scale architectural artworks, industrial reliefs, hand-finished editions, and bespoke commissions. Our primary focus is serving the luxury residential, commercial, and hospitality sectors, particularly within the London design corridor.


1.2. Acceptance: By using the Website, browsing our collections, or placing an order (whether as a private collector or a registered Trade Client), you signify your acceptance of these Terms and Conditions. If you do not agree with any part of these Terms, you must not use the Website or engage with our services.


1.3. Trade Clients: Specific provisions for Trade Clients are detailed within these Terms. Registration as a Trade Client constitutes acceptance of these Terms.


2. DEFINITIONS


2.1. "Artwork" refers to any piece created or sold by the Studio, including:

  • Original Reliefs: Large-scale, 3D artworks typically on Aluminium Composite (ACM) with reactive metallic finishes.

  • Studio Editions: Hand-finished Giclée prints on canvas or archival paper, produced in limited runs.

  • Gallery Prints: Professional Giclée prints.

2.2. "Commission" refers to an Artwork created specifically for a Client based on agreed-upon specifications, scale, and design.

2.3. "Client" refers to any individual, company, or entity purchasing Artwork or commissioning a piece from the Studio.

2.4. "Trade Client" refers to a registered and verified Interior Designer, Architect, Art Consultant, or Procurement Professional who has been approved for trade terms.

2.5. "Order" refers to the purchase of an existing Artwork or a series of Studio/Gallery Editions.

2.6. "Website" refers to www.adartstudio.art and any associated platforms managed by the Studio.



3. ORDERS, COMMISSIONS & TRADE CLIENTS


3.1. Order Placement: Orders for existing Artworks can be placed via the Website or by direct inquiry to the Studio. For large-scale Original Reliefs, a formal quotation and consultation may be required.


3.2. Order Confirmation: Upon placing an order, you will receive an email confirmation. This confirmation does not constitute acceptance of the order until payment is processed and the Artwork is ready for dispatch or collection.


3.3. Commissions:

  • All commissions require a formal consultation to define scope, scale, materials, and artistic direction.

  • A non-refundable 50% deposit is required to commence work on any Commission.

  • The Client will be kept informed of progress and may be required to approve stages of the work.

  • Final approval of the completed Commission is required before final payment and dispatch.



3.4. Trade Client Registration:

  • Trade Clients must register via the dedicated form on the Website.

  • Registration requires verification of professional credentials (e.g., studio website, business registration).

  • The Studio reserves the right to approve or deny Trade Client status at its sole discretion.

  • Approved Trade Clients will receive exclusive trade pricing and may be issued unique discount codes or be invoiced under agreed trade terms.



4. PRICING, PAYMENT & INVOICING


4.1. Pricing: All prices displayed on the Website are in GBP (£) and are subject to change without notice. Prices for Original Reliefs and Commissions are indicative and may be subject to final quotation.


4.2. Trade Pricing: Approved Trade Clients will receive a specific trade discount, typically applied via a unique code or reflected in their pro-forma invoice. This discount is at the Studio's discretion and may be revised.


4.3. Payment:

  • Orders: Full payment is required at the time of order confirmation for Studio Editions and Gallery Prints. For Original Reliefs, a 50% deposit may be required, with the balance due prior to dispatch.

  • Commissions: A 50% non-refundable deposit is required to commence work. The remaining 50% balance is due prior to dispatch.

  • Trade Clients: Payment terms may be agreed upon in writing, typically involving a deposit and balance payment, or net 30 days for established clients.



4.4. Invoicing: Invoices will be issued electronically. For Trade Clients, pro-forma invoices will be issued for initial orders, with standard invoices issued upon confirmation of account terms.


4.5. Late Payments: Late payments may incur interest at a rate of 5% per annum above the Bank of England base rate, or the maximum permitted by law. The Studio reserves the right to suspend or cancel orders/commissions for overdue payments.


5. INTELLECTUAL PROPERTY RIGHTS


5.1. Copyright: All Artworks, including Original Reliefs, Studio Editions, and Commissions, are protected by copyright. The Studio retains all intellectual property rights, including copyright, in the Artwork, unless explicitly transferred in writing as part of a specific commission agreement.


5.2. Client Usage: Clients may not reproduce, modify, or create derivative works of the Artwork without the express written consent of the Studio. Usage for personal portfolio display or client project presentation is generally permitted, but commercial reproduction requires a separate license.


6. WARRANTIES AND DISCLAIMERS


6.1. Material Quality: The Studio warrants that all Artworks are crafted using high-quality materials, including premium Aluminium Composite (ACM) substrates, archival papers and canvases, and professional-grade reactive metallic finishes.


6.2. Craftsmanship: The Studio warrants that all Artworks are produced with professional craftsmanship and attention to detail.


6.3. Natural Variations: Clients acknowledge that reactive metallic finishes (e.g., iron, copper, verdigris) are inherently chemical processes that result in unique, non-replicable patinas. Minor variations in colour, texture, and finish are intentional and form part of the artistic character of the piece. These variations are not considered defects.


6.4. Screen Representation: Colours of the Artworks may appear slightly different on screen due to variations in monitor settings and lighting conditions. While we strive for accuracy, we cannot guarantee that your monitor's display of colours will be precisely as they appear in person.


6.5. Installation: The Studio provides guidance on installation for its Artworks. However, the Client is responsible for ensuring safe and professional installation, including the use of appropriate fixings and professional installers, especially for large and heavy pieces. The Studio is not liable for damage or injury resulting from improper installation.


7. SHIPPING, DELIVERY & RISK OF LOSS


7.1. Refer to Shipping Policy: All shipping, delivery, and risk of loss are governed by our separate Shipping & Art Logistics Policy. Clients are advised to review this policy in full.


7.2. Risk Transfer: Risk of loss and damage to the Artwork passes to the Client upon delivery to the designated courier or carrier.


8. RETURNS, REFUNDS & CANCELLATIONS


8.1. Refer to Returns Policy: All returns, refunds, and cancellations are governed by our separate Returns, Refunds & Commission Policy. Clients are advised to review this policy in full.


8.2. Final Sale: Original Artworks and bespoke Commissions are generally considered final sale and are non-returnable and non-refundable.


9. LIMITATION OF LIABILITY


9.1. Cap on Liability: To the fullest extent permitted by law, the Studio’s total liability for any claim arising out of or related to the purchase or use of an Artwork or service shall not exceed the price paid by the Client for that specific Artwork or service.


9.2. Exclusion of Damages: The Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business, or loss of goodwill, arising out of or in connection with these Terms or the use of the Website or Artwork.


10. FORCE MAJEURE


10.1. The Studio shall not be held responsible for any delay or failure to perform its obligations under these Terms if such delay or failure is caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, labour disputes, war, terrorism, governmental actions, or failures of third-party service providers (including couriers or print labs).


11. GOVERNING LAW AND JURISDICTION


11.1. These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.


11.2. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.


12. CHANGES TO TERMS AND CONDITIONS


12.1. The Studio reserves the right to modify these Terms and Conditions at any time. Any changes will be effective immediately upon posting on the Website. Your continued use of the Website or services after such changes constitutes your acceptance of the revised Terms.
